Welcome to our Terms and Conditions! These boxes aren’t legally binding, you can use them as an aid for understanding the legal language.
Article 1: Definitions
1.1 Freelancer: An individual who has enrolled in the online course at training.luminospos.com and works with Luminos POS to earn commissions.
1.2 Service: The SaaS POS software provided by Luminos POS through luminospos.com.
1.3 Course: The online certification course for Freelancers provided at training.luminospos.com.
Article 2: Enrollment and Certification
2.1 Course Enrollment: To become a Freelancer, you must enroll in and complete the online certification course available at training.luminospos.com.
2.2 Certification: Upon successful completion of the Course, you will receive certification, authorizing you to promote our Course and onboard business owners to use the Luminos POS software.
Article 3: Commissions
3.1 Affiliate Sales Commission: You will earn a commission of 20% for every sale of the online course made through your unique affiliate link using the systeme.io sales funnel.
3.2 Software Subscription Commission: You will earn a commission of 35% of the subscription fee paid by business owners you onboard to use the Luminos POS software.
3.3 Payment Terms: Commissions will be paid out monthly, within 30 days following the end of each month. You must provide accurate payment information to receive your commissions.
Article 4: Responsibilities and Conduct
4.1 Promotion: You are responsible for ethically and accurately promoting the Course and the Service. Misleading, false, or deceptive practices are strictly prohibited.
4.2 Compliance: You must comply with all applicable laws and regulations in your promotional activities. Failure to do so may result in termination of your Freelancer status and forfeiture of any unpaid commissions.
4.3 Communication: You must maintain clear and professional communication with potential customers and the Company. Any issues or disputes should be reported to the Company promptly.
Article 5: Termination
5.1 Voluntary Termination: You may terminate your relationship as a Freelancer at any time by providing written notice to the Company.
5.2 Involuntary Termination: The Company reserves the right to terminate your Freelancer status for any breach of this Agreement, unethical behavior, or any actions that harm the reputation of the Company.
5.3 Effect of Termination: Upon termination, you will cease all promotional activities and remove any references to the Company from your marketing materials. Any unpaid commissions earned prior to termination will be paid out in the next payment cycle.
Article 6: Intellectual Property
6.1 Ownership: All intellectual property related to the Course and Service, including but not limited to trademarks, logos, and content, remains the property of the Company.
6.2 Usage Rights: As a Freelancer, you are granted a limited, non-exclusive license to use the Company’s trademarks and promotional materials solely for the purpose of promoting the Course and Service in accordance with this Agreement.
Article 7: Confidentiality
7.1 Confidential Information: You agree to keep confidential all non-public information provided by the Company, including but not limited to business strategies, customer information, and commission structures.
7.2 Disclosure Prohibition: You will not disclose any confidential information to any third party without the prior written consent of the Company.
Article 8: Limitation of Liability
8.1 No Liability: The Company will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with this Agreement, even if we have been advised of the possibility of such damages.
8.2 Maximum Liability: Our maximum liability to you for any claims arising from this Agreement will not exceed the total commissions paid to you in the preceding three (3) months.
Article 9: Governing Law and Dispute Resolution
9.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Uganda.
9.2 Dispute Resolution: Any disputes arising out of or relating to this Agreement will be resolved through binding arbitration in accordance with the rules of the Uganda Arbitration and Conciliation Act. The arbitration will take place in Kampala, Uganda.
Article 10: Amendments
10.1 Modification of Terms: The Company reserves the right to modify these terms at any time. Any changes will be effective immediately upon posting on our websites. Your continued participation as a Freelancer after any such changes constitutes your acceptance of the new terms.
Article 11: Miscellaneous
11.1 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding your Freelancer activities and supersedes all prior agreements and understandings, whether written or oral.
11.2 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11.3 No Waiver: The failure of the Company to enforce any right or provision of this Agreement will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.
Article 12: Independent Contractor Status
12.1 Nature of Relationship: You acknowledge and agree that your relationship with the Company is that of an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
12.2 Tax Obligations: As an independent contractor, you are solely responsible for all taxes, withholdings, and other statutory obligations, including but not limited to income tax, social security, and any other applicable taxes or fees.
Article 12: Independent Contractor Status
12.1 Nature of Relationship: You acknowledge and agree that your relationship with the Company is that of an independent contractor. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employer-employee relationship.
12.2 Tax Obligations: As an independent contractor, you are solely responsible for all taxes, withholdings, and other statutory obligations, including but not limited to income tax, social security, and any other applicable taxes or fees.
Article 13: Independent Contractor Status
13.1 Approved Materials: You may only use marketing and promotional materials that have been provided by or approved by the Company. Unauthorized use of any other materials is prohibited.
13.2 Advertising Standards: All advertising and promotional activities must adhere to ethical marketing practices and comply with all applicable laws and regulations. Misleading, false, or deceptive advertising is strictly prohibited.
Article 14: Non-Compete and Non-Solicitation
14.1 Non-Compete: During the term of this Agreement and for a period of one (1) year following its termination, you agree not to directly or indirectly engage in any business that competes with the Company’s services within Uganda or any other market where the Company operates.
14.2 Non-Solicitation: You agree not to solicit, recruit, or hire any employee, customer, or client of the Company for a period of one (1) year following the termination of this Agreement.
Article 15: Data Protection and Privacy
15.1 Compliance: You must comply with all applicable data protection and privacy laws when handling personal data of customers and users. This includes obtaining necessary consents and providing required disclosures.
15.2 Data Security: You agree to implement and maintain appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing and against accidental loss, destruction, or damage.
Article 16: Reporting and Record Keeping
16.1 Sales Reports: You must provide accurate and timely reports of all sales and customer onboarding activities as required by the Company. These reports must be submitted in the format and within the timeframes specified by the Company.
16.2 Record Keeping: You must maintain accurate records of all transactions, communications, and activities related to your Freelancer duties. These records must be made available to the Company upon request.
Article 17: Indemnification
17.1 Indemnification: You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with your breach of this Agreement, your negligent or wrongful acts, or your violation of any law or the rights of any third party.
Article 18: Notices
18.1 Method of Notice: All notices and other communications required or permitted under this Agreement must be in writing and delivered to the Company at the address specified in this Agreement or to you at the address provided during your course enrollment.
18.2 Notice Effectiveness: Notices will be deemed given (a) when delivered by hand, (b) three (3) business days after being sent by certified mail, return receipt requested, or (c) one (1) business day after being sent by a reputable overnight courier service.
Article 19: Force Majeure
19.1 Definition: Neither party will be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, labor disputes, governmental orders, or any other force majeure event.
19.2 Notification: The affected party must notify the other party of the occurrence of a force majeure event and its expected duration as soon as practicable. The performance of the affected party’s obligations will be suspended for the duration of the force majeure event.
Article 20: Electronic Signatures
20.1 Acceptance: You agree that your electronic signature on this Agreement is intended to authenticate this writing and to have the same force and effect as a manual signature. Your electronic signature will be considered valid and binding.
By continuing your relationship as a Freelancer with Luminos POS, you acknowledge that you have read, understood, and agree to these additional clauses in the Terms and Agreements. If you do not agree with any part of these terms, please discontinue your involvement as a Freelancer immediately.
